Acknowledgment and acceptance of the Terms

The following terms, conditions, notices and disclaimers, together with any documents they expressly incorporate by reference, including our Privacy Policy ("Policy") and Terms of Sale ("TOS") (collectively, these "Terms") govern your use of any online or mobile product or service to which you have access, installed, or purchased which offered by Artemis Digital Limited or any of its subsidiaries and affiliates ("Company", "We" or "Us"), including any content, functionality, activities and services, whether online or off-line, offered on or through our website (collectively, the "Service"), whether as a guest of a registered user.

Please read these Terms carefully before you start to use the Service. By taking any step to download, purchase, set-up, install, use, register to or otherwise access all or any portion of the Service or by clicking to accept or agree to the Terms when this option is made available to you, you explicitly accept and agree, without limitation or qualification, to be bound and to abide by these Terms. If you do not want to agree to these Terms, you must not install, use, register to or otherwise access the Service or any portion of the Service.

In some cases, a certain Service may require you to read and agree to specific terms and conditions. Your right to use that Service is subject to those specific terms and these Terms. To the extent these Terms conflict with any other terms, policies, rules or codes of conduct, these Terms will govern.

We reserve the right to disable any username, password and user account, at any time at our sole discretion when we suspect or are of the opinion that you have violated any provision of these Terms, or for any other reason which we deem to be actionable, including but not limited to claims by a third party that a username violates such third party’s rights.

The Service is protected by law, including without limitation the intellectual property laws of the Hong Kong Special Administrative Region ("HKSAR"), international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws and treaties. You hereby acknowledge that all intellectual property rights in the Service and its entire contents, features, and functionality (including but not limited to all contents, e-books, information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof and in any and all future updates, modifications, revisions and/or derivative works of the Service) throughout the world are owned by us. You have no rights in, or to, the Service other than the right to use it in accordance with these Terms.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, copy, sell, resell, transmit, or otherwise exploit any of the material in whole or in part on or within the Service except as expressly permitted by these Terms.

The Company name, the Company logo and all related names, logos, product and service names are trademarks of the Company. You must not use such marks without our prior written permission. We reserve all rights to claim remedies against you, including without limitation damages and injunctive relief, in respect of any unauthorized use of our intellectual property.

While we always appreciate your feedback or other suggestions about us or our Service, you understand and acknowledge that we may use your feedback or suggestions without any obligation to compensate you for them (just as you have no obligation to offer them). You hereby acknowledge that you may not claim rights to implementations that incorporate your feedback or suggestions and all rights, including all intellectual property rights, if any, resulting therefrom shall belong solely and exclusively to the Company.

As part of your use of the Service, you may produce work that are protected by copyright, such as the essays or compositions that you submit to our online or mobile platforms. You hereby consent and acknowledge that we may from time to time provide such work to third parties for use for teaching, educational and/or research purposes and that we may do so without need to notify you.

You understand and agree that the foregoing limitation of liability is an agreed allocation of risk and an essential part of these Terms. You understand and agree that the Company will not provide the Service to you by reason of the absence of your agreement to this limitation of liability.

Indemnification

By accepting these Terms, you agree to indemnify and otherwise hold harmless the Company and parties associated with the Company, including but not limited to its officers, directors, employees, contractors, agents, subsidiaries, affiliates, and other partners, successors and assigns from and against any direct, indirect, incidental, special, consequential or exemplary damages arising out of, relating to, or resulting from your use of the Service or any other matter relating to the Service or these Terms, including, but not limited to, any use of the Service other than as expressly authorized in these Terms or your use of any information obtained from the Service.

For the avoidance of doubt, if your breach of these Terms or relevant terms of the Service brings about any third party’s claims, demands or losses to the Company, including attorney’s fees, you hereby agree to indemnify and hold the Company harmless from all losses caused by said claims, demands or losses.

Entire agreement

These Terms constitute the sole and entire agreement between you and the Company with respect to the Service and govern your use of the Service, superseding all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Service.

Wavier and severability

No waiver of by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be contrary to law, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Governing law

These Terms will be governed by and construed in accordance with the laws of the HKSAR without regard to conflict of laws principles.

Dispute resolution

Any dispute or controversy under these Terms shall firstly be resolved through amicable negotiation. If no agreement is reached through such negotiations, the parties hereby agree that any dispute, controversy or claim arising out or relating to these Terms, or the breach, termination or invalidity thereof, shall be settled by final and binding arbitration in Hong Kong under the Hong Kong International Arbitration Centre Administered Arbitration Rules in force when the Notice of Arbitration is submitted in accordance with these Rules. The place of arbitration shall be in Hong Kong at the Hong Kong International Arbitration Centre ("HKIAC").

The tribunal for any arbitration shall consist of three arbitrators with each party appointing one arbitrator and the two arbitrators thus appointed shall choose the third arbitrator who will act as the presiding arbitrator of the Tribunal.

The language to be used in the arbitral proceedings shall be English.

The applicable law shall be the laws of the HKSAR.

Language

These Terms are written in English. Although these Terms may be translated into another language at the sole discretion of the Company or by the requirement of law, the English version shall prevail.

TERMS OF SALE

If you purchase any e-books, goods, services, or information ("Products") from us, you hereby agree to this TOS. Please note that the Company reserves the right to change this TOS without notice to you so please be sure to check this TOS prior to any purchase from us.

Personal non-commercial use

All Products are offered solely for your personal, non-commercial use. The delivery of any Products to you does not transfer any commercial or promotional rights in the Products. You may not resell, rent, lease or provide the Products to any person and you shall not modify, publish, participate in the transfer or sale of, reproduce, or create new works from, any of the Products in whole or in part.

Children under 14

Persons under the age of 14 are not permitted to register as a User of the Service and/or to purchase products without the approval of a parent or legal guardian. The Company reserves the right to refuse service, terminate user accounts or cancel orders in its sole discretion.

There may be cases where we are unable to identify the age or gender of any Users, whether registered or not, who browse or use our Service. If a child under 14 has provided his/her Personal Information to use our Services, the parent or legal guardian should inform us by e-mail and request us to delete the Personal Information of said child.

Parents and legal guardians are strongly urged to supervise their children’s activities online.

Fees and charges

You agree that you will pay for all fees and charges (including any taxes and late fees, shipping, insurance, and handling as applicable) incurred through your purchase of any Products at the rates in effect for the billing period in which such fees and charges are incurred. The Company reserves the right in its sole discretion to bill fees and charges to any of the payment methods you have included in your Registration Data. Billing occurs at the time of purchase. The Company does not provide price protection or refunds if the price for particular Products previously purchased by you is lowered or is part of a promotional offer. All Products are non-refundable.

You acknowledge and agree that if you designate a credit card during the registration process with the Company or designate a different credit card after registration as your methods of payment, we will charge the then-current price directly to your credit card.

Disclaimer of warranties

The Products are provided "as is" without warranty of any kind, either expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. The Company is not responsible for any failure of the Products. The materials available from the Company are subject to change without notice. The Company is not liable for any direct, indirect, special, consequential, punitive, exemplary and/or incidental damages of any kind resulting from your use of the Products.

PRIVACY POLICY

The Company is committed to protecting your privacy while providing you with the products and services that serve your needs. The operation of these products and services may require the collection and use of your Personal Information (as defined below). What information we collect from you

We do not collect personally identifiable information from causal browsers of our website and you may browse our website anonymously. If a non-account holder sends us email, we collect and store these communications.

If you wish to access or download content from the Company, you will need to register with us to create a user account, we ask for information such as your name, email address, payment information, and communication preferences. Depending on your type of user account, we may ask you to provide us with a copy of your identification document. When you register with us and sign in to our services, you are not anonymous to us.

IP address information

Each time you use the Service, your wireless telecom services operator will provide our web server with your IP address, as well as other technical information about your mobile device. In addition, our servers may look up the IP address and other information about your mobile device so that we can: 1) display specific or localized content and advertisements that may interest you based on the geographic location of handheld device; or 2) to enable certain features of the Service. We do not combine your IP address or location information with personally identifiable information about you.
